Do you have integrated anti-virus? If so check the max file size. Make sure its enabled and a size has been set. Try 100000 KB first. See if this helps.

No, integrated antivirus disabled. NOD32 antivirus system without IMON installed. Exclusions (c:\program files\kerio) has been set in AMON of NOD32.

Are you sure 100% CPU does not coincide with the scanning of files for virusses by NOD32? That is the most logical explanation. Try downloading some file (at least 15Mb or more for clearer results) and see if the CPU spike occurs when the download is 99% finished. Also check the Task Monitor to see exactly which process is causing the high CPU load.

Did you try turning on some detailed logging and then trying to correlate the high CPU load with some specific events/downloads/websites-being-visited/p2p-client-activity/ etc.?

There must be something triggering this.
